Pickle Party Material Submission Agreement

		Before submitting your ideas and/or original animated material ("Material") to the Pickle Party (“Pickle Party”) Website (the "Website"), please read the following Agreement in its entirety.  If you accept and agree with this Agreement in its entirety, press the "Submit" button to submit your Material.  If you do not accept and agree with any provision or portion of the Agreement, do not press the "Submit" button and do not submit your Material in any way, as submission of your Material to Pickle Party through the Website constitutes full and complete acceptance of this Agreement.
		Format
		------
		In order to submit your Material to Pickle Party for possible inclusion on the Website, your Material must be no larger than one (1) megabyte downloadable size and it must be contained within an .swf (Flash animation) file.  If you choose to submit an idea only, it should be sent as an email message or a text file.
		License
		-------
		In consideration of Pickle Party’s consideration of your Material for possible inclusion on the Website, you grant to Pickle Party, its successors, assigns and licensees (collectively "Pickle Party") a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license (the "License") to use, display, reproduce, edit, archive and distribute your Material, and to sublicense these rights to users, on the Website or any other websites that may now or hereafter contain an authorized Pickle Party branded area or window (referred to collectively herein as, “the Website”).
		You are also granting Pickle Party a non-exclusive, worldwide, royalty free license (the "Promotional License") to use your Materials and/or excerpts of your Material and your name, likeness and biographical information for advertising and/or promotional purposes of any kind or nature.
		You agree that except as noted above, you will not be entitled to any consideration of any kind for Pickle Party’s exercise of the license rights granted above.
		Representation and Warranties

		You represent and warrant to Pickle Party the following:
		1.	You have the legal right and authority to grant to Pickle Party the License and the Promotional License.  You are 18 years of age or older and are a resident and citizen of the United States.  If you are under the age of 18, you must have your parent or guardian submit your Material to Pickle Party on your behalf.
		2.	The license rights granted above to your Materials will not violate or infringe upon the copyright, privacy right, publicity right, trademark, service mark, trade secret or any other personal or property right of any person or entity and your Material will not defame any third party.
		3.	Your Material is either completely original with you and was created and/or written solely by you or with respect to any material contained in your Material that is not original with you, you have all rights necessary to grant Pickle Party the license rights granted above.  You agree to make any payments required to be made to any performing rights society, publishers or other persons having legal or contractual rights of any kind to participate in the receipts of your Material or to payments of any kind as a result of the distribution or exhibition of your Material and any taxes thereon or on the payments thereof.
		4.	The Material you are submitting is not obscene, pornographic, defamatory, libelous or otherwise illegal nor does it violate or infringe upon the rights of any third party in any form or manner.
		5.	You have read the "Terms of Use" found elsewhere on this Website and acknowledge that your acceptance of this Agreement shall also constitute your acceptance of and agreement to the terms and conditions of the "Terms of Use."
		Indemnity

		You agree to defend, indemnify and hold harmless Pickle Party, its respective officers, directors, shareholders, employees, accountants, attorneys, agents, affiliates, subsidiaries, successors and assigns from and against any and all third party claims, damages, liabilities, costs and expenses, including legal fees and court costs, arising out of or in connection with (i) any breach by you of this Agreement, including a breach of any Representation and Warranty made by you in this Agreement; or (ii) Pickle Party’s exercise of any of the license rights in the Materials submitted by you.
		Discretion to Post
		------------------
		You understand and agree that Pickle Party has sole and complete discretion over whether or not it uses your Material, or any part thereof, on the Website, and that Pickle Party is free to edit, expand, alter or change the Material in any manner necessary to make it appropriate and available for viewing on the Website.
		Limitation of Liability
		-----------------------
		PICKLE PARTY, ITS RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, ACCOUNTANTS, ATTORNEYS, AGENTS, AFFILIATES, SUBSIDIARIES, SUCCESSORS AND ASSIGNS (COLLECTIVELY "PICKLE PARTY") SHALL NOT BE LIABLE FOR ANY DIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SUBJECT MATTER OF THIS AGREEMENT.  NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL PICKLE PARTY'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR SUBMITTING YOUR MATERIAL.  PICKLE PARTY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  YOU HEREBY RELEASE PICKLE PARTY FROM ANY AND ALL CLAIMS, DEMANDS, COSTS AND LIABILITIES THAT MAY ARISE IN CONNECTION WITH OR RELATED TO THIS WEBSITE, ANY MATERIALS CONTAINED ON THE WEBSITE, AND/OR THE ACTIONS OF ANY THIRD PARTIES IN CONNECTION WITH THE WEBSITE.
		Miscellaneous
		-------------
		This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supercedes all previous written or oral agreements between the parties hereto with respect to such subject matter.
		No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
		You agree that by clicking on the “Submit” button below you intend to enter into an enforceable Agreement with Pickle Party and you hereby waive any and all defenses you may have based on the electronic form of this Agreement and the lack of signatures of the parties on this Agreement.
		This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of California, as it is applied to agreements entered into and to be performed entirely within such State.  Any action you bring to enforce this Agreement or any matters related to this Site shall be brought exclusively in either the State or Federal Courts located in Los Angeles County, California and you waive any objection you may have in the future with respect to the foregoing.  If any provision of this agreement is void or unenforceable in whole or in part, the remaining provisions of this Agreement shall not be affected thereby. 
		Use of "you" or "yours" shall mean heirs, executors, administrators, successors, legal representatives and permitted assigns.
		I have read all of the foregoing, and fully understand the implications of agreeing to its terms.  I understand that by clicking on the Submit button below or by submitting any Materials to Pickle Party, I am creating a legally binding agreement and have been advised to seek legal counsel to review and explain any parts of this document I do not understand.
